Terms of service

1. Who we are and what these terms cover

These terms govern your use of ECMS Pro (the “Service”), an education center management system provided by [company legal name], registered under commercial register no. [—], at [address], tax ID [—] (the “Company”, “we”). By creating an account or using the Service, the person creating the account (the “Center Owner”) confirms that they may bind the education center they register (the “Center”) to these terms and that they are at least 21 years old.

2. Definitions

• Users: the Center Owner and the staff, teachers and devices they add to the Center’s account.
• Center Data: everything the Center or its Users enter into the Service, including students’, guardians’, payment and marks data.
• Center subscription: the Center’s use of the Service for a fee paid monthly or yearly.
• Trial period (“free trial”): 14 days of free use of every feature from the day the Center is created.

3. Your account

1. Accounts are created with a mobile number verified by a confirmation code. Each mobile number gets one free trial.
2. You must keep your signup details accurate and your passwords confidential. The Center Owner is responsible for the Users they add and their permissions.
3. The Center runs on its own address (<slug>.ecms.tadreb.live), chosen at signup and not changeable, with its own database.
4. We may refuse or suspend a signup that breaches these terms or repeats an earlier trial.

4. The free trial

1. Every feature is available during the trial, free and without payment details.
2. If the trial period ends without a subscription: the Center keeps full access for [3] days to pay, then becomes read-only (view and export) for [7] days, then is closed until it subscribes; the Center Owner can still sign in, pay and export. We may change these periods with prior notice.
3. We never delete a Center’s data automatically (see section 8).

5. Subscription, prices and payment

1. Prices are in Egyptian pounds and include 14% VAT under Law No. 67 of 2016.
2. The subscription is paid in advance for the chosen period (a month or a year) through Fawry, by the methods it offers. We do not store card details and never charge automatically.
3. If you subscribe during the trial, the paid period starts the day after the trial ends.
4. The renewal invoice is issued [7] days before a monthly period ends and [14] days before a yearly one, with a payment link. If it is not paid on time, the Center keeps full access for [7] days to pay, then becomes read-only for [7] days, then is closed until payment.
5. A change of period (monthly to yearly or back) applies from the next renewal, with no proration for the current period.
6. We may change prices with at least [30] days’ notice; the new price applies from the first renewal after the notice.
7. Invoices are issued in the Center’s name with the tax details it provides, and it is responsible for their accuracy.

6. Cancellation and refunds

1. You may cancel the Center subscription at any time; cancellation takes effect at the end of the paid period, and the data stays available to view and export for [30] days after that.
2. Refunds follow the published refund policy, which forms part of these terms.

7. The Center’s rights in its data, and its protection

1. Center Data belongs to the Center. We use it only to provide, support and secure the Service for the Center; we do not sell it or use it for advertising.
2. The Center is the controller of students’ and guardians’ data under Personal Data Protection Law No. 151 of 2020, and we process it on the Center’s behalf, on its instructions and under the data processing annex [to be drafted and attached]. The Center must have a lawful basis to collect it, including guardians’ consent where required, particularly as children’s data is sensitive data.
3. WhatsApp messages the Center sends from the Service go out from its staff member’s own WhatsApp account; the Center is responsible for their content and for complying with WhatsApp’s terms.
4. The Center Owner can export the Center’s data at any time, including while read-only and after the account is closed.

8. End of service and data retention

1. Once the Center subscription or the trial period has ended, the read-only period has passed and the account is closed, the Center becomes an “archive candidate”. No Center database is deleted automatically: it is archived by an administrative decision after notifying the Center Owner, and deleted only after a copy is taken [archive retention period: —].
2. The Center Owner may ask for the Center’s data to be permanently deleted after exporting it; we act within [30] days, keeping only what the law requires us to keep, such as invoices.

9. Acceptable use

You must not use the Service for any unlawful purpose, to send spam or misleading messages, or to store data you have no right to process; nor try to reach other centers’ data, disrupt or load-test the Service or reverse-engineer it; nor share one account between different people. We may suspend an account that breaches this, notifying you where possible.

10. Availability and support

We make reasonable efforts to keep the Service running and take a daily backup of every Center. The Service may pause for maintenance, announced where possible. [There is no service level agreement unless agreed in writing.] Support is provided through [channels] during [working hours].

11. Third-party services

The Service relies on third parties, including Fawry for payments, WhatsApp and SMS providers to deliver confirmation codes, the Company’s Odoo system for invoicing and code delivery, and learning sites on tadreb.live when that connection is enabled. Your use of them is also subject to their terms.

12. Intellectual property

The Service, its design, software and marks belong to the Company. You may use the Service to run your Center for the term of the subscription, with no right to copy or resell it.

13. Limitation of liability

[To the extent permitted by law,] we are not liable for indirect damages, lost profits or data loss resulting from the Center’s use, and our total liability is limited to what the Center paid for the Service in the [twelve months] before the event. [For legal review.]

14. Changes to these terms

We may change these terms. We notify the Center Owner of any material change at least [30] days before it takes effect; continued use after that date means acceptance. Every earlier version is kept with its date.

15. Governing law

These terms are governed by the laws of the Arab Republic of Egypt, and [the courts of Cairo] have jurisdiction over any dispute not settled amicably within [30] days.
